AGREEMENT ON TECHNICAL COLLABORATION ON PROMOTION OF SCIENTIFIC RESEARCH ACTIVITIES

between

The Istituto Nazionale per l'Assicurazione contro gli Infortuni sul Lavoro (INAIL) with its principal place at Via IV Novembre, 144, 00187 Rome, Italy, here represented by the President, Prof. Massimo De Felice

and

the Korea Occupational Safety and Health Agency (KOSHA) with its principal place at 400, Jongga-ro, Jung-gu, Ulsan 681-230, Republic of Korea, here represented by the President, Prof. Lee Young Soon,

given that

- INAIL is a public body running the compulsory insurance on accidents at work and occupational disease, with specific competencies also in the research field, where it has a well-established experience at national and intemationallevel ;
- KOSHA is a public agency whose mission is to improve health and safety at work by promoting research activities and encouraging the development of initiatives aimed at improving scientific knowledge;
- In 2009 KOSHA and former ISPESL entered into a three-year agreement on technical and scientific cooperation with the purpose of exchanging information on research activities and programmes in the respective countries and ensuring positive effects arising from the synergy and scientific cooperation between the two institutions;
- Both parties have agreed to sign this agreement to increase their technical and scientific knowledge and to explore the possibility of cooperation towards shared objectives, through exchange of information, methods and results in the context of national and intemational programmes for the improvement of workers' health;
Given the above, as part and parcel ofthis act,

The parties agree on the following

l. Purpose
The purpose of this arrangement is to facilitate collaboration between INAIL and KOSHA to improve research on occupational safety and health matters in their National contexts. The two Institutes also seek to strengthen the effectiveness of their action within intemational networks and organizations as well as contribute to improve research skills of foreign Institutes in the field of occupational health and safety. Through these efforts, in the long run, the parties hope to develop research activities with a view of improving policies to enhance a healthy and rewarding working life for all workers.

2. Liaison
Bach Institute will designate a liaison to evaluate and promote the most suitable research programmes and cooperation activities within the scope of this arrangement.

3. Form of collaboration
The collaboration may consist ofthe following:
a. Continued exchange of information regarding respective national research plans;
b. Exchange of knowledge and information about research programmes, to be eventually extended to include jointly planned research projects in areas of mutuai interest;
c. Joint participation to research initiatives promoted and funded by intemational organizations;
d. Organizing scientific symposia and conferences, and other activities aimed at supporting knowledge transferability;
e. Mutuai exchange of research personnel in order to support joint research activities;
f. Any other form of cooperation in research activities agreed upon by institutes.

4. Financial resources
To carry out the collaboration initiatives mentioned in paragraphs c), d), e) and t) of Article 3, the parties will develop explicit operational agreements to define the object of collaboration, management procedures and allocation of fmancial burden.

5. Publication and inventions
As public entities in their respective nations, a major purpose ofboth Institutes' work is to exchange information concerning research activities that may be made available to public and private sectors through publications or other communication channels. Informative and documentary materials (e.g. originai notes, data sheets and other records) developed during or at the end of the research collaboration will be property of the originating Institute. Copies of such materials may be released outside of INAIL or KOSHA with prior notice of such release to the originating Institute.
Documents arising from joint projects may or may not be published jointly, and the Institutes hereunder shall agree in writing whether such publication will be made jointly. In case Institutes bave not entered into an agreement to publishjointly, each Institute shall submit to the other a copy of any proposed report or publication, even if containing information related to any trade secret, for review; publication of such information will follow the other Institute's consent, which will not be unreasonably withheld.
Any inventions or patent application registered during the research activity conducted within the present arrangement will be govemed by the specific operational agreements and in compliance with regulations of the relevant Institute as well as specific sector' s regulations in force.

6. Termination
This arrangement may be terrninated by either Institute at any time upon no less than two months prior written notice to the opposite Institute. Notice of terrnination of this arrangement will be sent to the authorized signatory of the other institute, as identified below.

7. Duration
This arrangement, except for interruptions due to exceptional reasons, willlast for three years and shall be vaiid as of 27th February 2015.

8. Modification
Any modification to this arrangement shall be agreed among the two Institutes; it will need written approvai of both Institutes and shall be vaiid as of the date agreed among both parties.

9. Dispute
Any dispute related to this arrangement, if not settled through mutuai discussions between the Institutes, will be referred to the competent court orto arbitrators appointed by each Institute, according to the terms of the specific operationai agreement which the dispute refers to.
